The following describes the terms and conditions by which this Program, powered by OneStopWizard®, a Colorado company ("Program"), agrees to offer Businesses membership in the online network of OneStopWizard® powered websites.

This Business agreement describes the services this Program will provide the Business (“Business”) and what conditions the Business will be expected to adhere to. By making application for membership, Business, if such application is approved, agrees to be bound by the terms and conditions of this Agreement. This Agreement, and associated Program pricing, may be amended by this Program at any time by posting the amended terms on this Program’s website(s).

This Program is designed as a web-based service for homeowners, real estate professionals and others to locate Businesses providing superior products and services in a variety of categories. This Program will deliver and maintain OneStopWizard® powered websites in order to provide the best possible exposure to homeowners, Realtors® and other real estate professionals looking for the products and services offered by Program Businesses.

This Program places a high degree of emphasis on feedback from actual customers (or Users).  Through this online feedback, the Program is “self-policing.”  In order to maintain membership in this Program, each Business agrees:

1. To provide outstanding products and/or services.
2. To emphasize quality and professionalism at every level.
3. To offer fair deals… and be honest, ethical and friendly in every transaction.
4. To treat every customer as though he or she is the most important.
5. To ensure Business’s staff is aware of this Program and Business’s participation in such.
6. To be responsive to customer inquiries, return phone calls quickly and to be timely in correspondence.
7. To be subject to such additional screening or background checks as from time to time may be determined by Program.
8. We invite Program Businesses to utilize the online “special offer” capabilities of the websites to promote special offers. These offers are administratable by the Business and can be used to market unique offers, time sensitive specials, etc.
9. To assure that any offers Business is running on the site are rotated, maintained with regard to expiration dates and new offers regularly introduced to provide variety for end Users.
10. To maintain and update their respective Business profiles on the website; to ensure that all information contained on their Business listing and associated offers is accurate and truthful.
11. To be subject to consumer feedback from actual customers or clients who may post reviews on Program’s web sites. This Program will randomly monitor feedback.
12. To maintain a positive review history. While we hope that every effort is made on the part of our Program Businesses to provide outstanding products and services and comply with the requirements set forth herein, this Program reserves the right, in its sole discretion, to terminate the involvement of a Business in the Program, should Business fail to comply with the terms and conditions set forth herein or be subject to frequent and adverse reviews, in our sole discretion, from customers or clients. In this worst-case scenario, no monies will be refundable.
13. To represent and warrant that the products and services Business offers do not infringe upon any patents, copyrights, trademarks or other ownership rights of third parties.
14. Not to assign its membership in this Program without this Program’s prior written consent.
15. To be wholly responsible for collecting and remitting any sales tax due from its customers.
16. To comply with all applicable domestic laws, statutes and regulations in the conduct of the Business.

This Program does not, directly or indirectly, guarantee or warrant the work, services or products of the Businesses participating in this Program. Each Business agrees to indemnify, defend and hold harmless this Program, OneStopWizard®, it’s associated companies and all of their directors, officers, agents and employees from all liabilities, claims and expenses, including attorneys' fees that may arise as a result of the work, services or products provided by the Business.

In the event a dispute arises between this Program and Business, our goal is to provide a neutral and cost effective means of resolving a dispute quickly. Accordingly, this Program and Business agree that any claim or controversy at law or equity that arises out of this Business Agreement shall be resolved through alternative dispute resolution procedures, such as mediation, as an alternative to litigation. Should mediation be unsuccessful, this Program and Business agree that the claim or controversy shall be resolved through binding arbitration conducted by telephone, on-line and/or based solely upon written submissions where no in-person appearance is required. In such cases, the arbitration shall be administered pursuant to the Colorado Uniform Arbitration Act.  Any judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Excepting for attorneys fees, the costs of mediation and/or arbitration shall be split evenly between the parties. Each party shall be responsible for their own attorneys’ fees.  This Program shall not be responsible or liable for damages claimed as a result of any technical difficulties with the website.
